Article 2Purpose and scope
These general terms of use (hereinafter the "Terms of Use") set out the conditions of access to and use of the Site and the Services by any User, as well as the respective rights and obligations of the User and CONYVO.
The Terms of Use are not general terms of sale. The subscription to the Solution is governed by the Terms of Sale, the Purchase Order and their appendices, which prevail over the Terms of Use in relations between CONYVO and the Customer.
Access to the Services implies unreserved acceptance of the Terms of Use. The End User accepts them on first login; the Customer guarantees that its End Users comply with them.
The Customer may issue additional internal rules (IT charter) applicable to its End Users, under its sole responsibility. In the event of conflict, the Terms of Use prevail in relations with CONYVO.
Article 3Legal information
In accordance with French Law No. 2004-575 of June 21, 2004 on confidence in the digital economy, the identification details of the Publisher and of the hosting provider are as follows. They may be repeated on a separate "Legal notice" page.
Publisher of the Site: CONYVO, SASU with variable capital (minimum share capital: €100), RCS Toulon 102 903 457, intra-community VAT number FR26102903457, 39 Boulevard Georges Clemenceau, 83000 Toulon, France.
Publication director: Lylouann TRUTTMANN, as President.
Contact: contact@conyvo.com.
Hosting provider of the Site and of the hosted Solution: IONOS SE, Elgendorfer Str. 57, 56410 Montabaur, Germany.
The Site and the Services may be produced, administered or maintained by authorized Contractors on behalf of CONYVO.
Article 4Access to the Site and the Services
The Site is available free of charge to any User with internet access. All costs related to access (hardware, software, connection) are borne exclusively by the User.
Access to the authenticated Services is reserved for Users with an Account opened by CONYVO or by a Customer Administrator, within the limits of the rights granted. It ends automatically when the Customer's contract ends or the Account is closed.
CONYVO may suspend, limit or interrupt access to the Site or the Services, in particular for maintenance, updates or a security incident, without incurring any liability to the User.
Article 5Description of the Site and the Services
The Site presents CONYVO's business, its Conyvo Infrastructure offer and informative content, and allows Users to get in touch and request a diagnosis or a quote.
Depending on the Solution subscribed by the Customer, the Services may in particular allow: (I) unified access to applications through the access portal and single sign-on (SSO); (II) file storage, synchronization and sharing; (III) email, calendar and contacts; (IV) video conferencing and instant messaging; (V) password management; (VI) electronic signature; (VII) management functions.
The Services are accessible through dedicated addresses and compatible web, desktop or mobile clients. The applicable addresses are given to the User when the Account is opened.
Information published on the Site is general and indicative. It does not constitute legal, tax, accounting or security advice, nor a contractual commitment, which results exclusively from the Terms of Sale and the Purchase Order.
Article 6Contact, diagnosis and quote requests
The Site allows the User to contact CONYVO and request a diagnosis, an audit, a demonstration or a quote. The User provides accurate, complete and up-to-date information and guarantees that they are authorized to represent the company concerned.
A request for a diagnosis or quote creates no obligation to contract. CONYVO may decline to follow up on a request that is abusive, unlawful, beyond its capacities or incompatible with its offers.
Article 7Account · Credentials · Authentication
Accounts are created by CONYVO or by the Customer Administrator, using the identity and account management tools, with roles and groups assigned. Each Account is strictly named and personal.
The User is solely responsible for keeping their Credentials safe and confidential and for their use. Any login made with their Credentials is deemed to have been made by them, unless proven otherwise.
The User undertakes in particular to (I) choose a strong and unique password, (II) enable multi-factor authentication (MFA) when it is offered or required, (III) never share their Credentials or VPN configuration, and (IV) lock their devices.
The User informs their Customer Administrator and CONYVO without delay of any loss, theft, suspected compromise or fraudulent use of their Credentials. CONYVO may then reset the Credentials, revoke sessions or suspend the Account.
Article 8End Users · Role of the Customer
The Customer, through its Customer Administrator, decides on the opening, rights, modification and closure of its End Users' Accounts. CONYVO carries out its instructions and is not responsible for the authorizations it grants.
The Customer is the controller of the data processing carried out by its End Users through the Services. It informs them of the processing of their data and of any logging arrangements.
When an Account is closed or an End User leaves, the associated User Content remains available to the Customer, which decides on its archiving, transfer or deletion. The End User has no personal right to its return from CONYVO.
Article 9Rules of use and prohibited conduct
The User uses the Site and the Services fairly, in accordance with the laws and regulations in force and their employer's charter, and with respect for the rights of third parties and of CONYVO.
The following in particular are prohibited, without this list being exhaustive:
- undermining the operation or security of the Site or the Services (intrusion, attempted intrusion, scanning, unauthorized vulnerability or load testing, etc.);
- attempting to circumvent authentication mechanisms (SSO, MFA, VPN), quotas or isolation between customers, or accessing unauthorized areas;
- introducing malicious code, viruses, ransomware or any file likely to compromise the systems;
- storing, distributing or sharing content that is unlawful, infringing, defamatory, hateful, violent, child sexual abuse material or that infringes the rights of third parties;
- using the Services to send unsolicited email, for phishing, identity theft or unlawful collection of addresses;
- using the Services as public hosting, a mass distribution platform, a crypto-asset mining tool or a relay for third parties;
- systematically extracting the content of the Site (scraping) or reselling, sublicensing or making the Services available to third parties;
- impersonating CONYVO, one of its staff members, a Customer Administrator or any third party.
In the event of a breach, CONYVO may take any appropriate measure, including suspending access, removing content, informing the Customer and bringing legal proceedings.
Article 10User Content · Hosting · Reporting
The User is solely responsible for User Content. They guarantee that they hold all the rights and authorizations required (copyright, image rights, trade secrets, personal data) for the Content they upload or share.
CONYVO acts as hosting provider of User Content. It does not carry out any general monitoring of this Content and does not access it, except for technical necessity, at the Customer's request, following a report or under a legal obligation.
Anyone may report to CONYVO content they consider unlawful at contact@conyvo.com, stating: (I) their contact details, (II) the exact location of the content, (III) the reasons why it is unlawful, (IV) a statement of good faith on the accuracy of the report.
CONYVO handles reports diligently and may remove or disable access to manifestly unlawful content. It informs the User or Customer concerned of its decision and the reasons for it, unless prohibited by law or where this would put an investigation at risk.
In the event of a manifestly unfounded, abusive or defamatory report, CONYVO reserves the right to take any appropriate action against its author.
Article 11Email
The User complies with the applicable sending rules, in particular regarding electronic marketing (consent, unsubscribe). Bulk mailings, marketing campaigns and newsletters are prohibited from the Solution's email, unless a dedicated option is subscribed.
CONYVO may apply sending limits and anti-spam and antivirus filters, quarantine or block suspicious messages, and suspend a compromised Account in order to protect the reputation of domains and IP addresses.
Anti-spam and antivirus filters reduce risks without eliminating them. The User remains vigilant about attachments, links and unusual requests, and reports any phishing attempt to their Customer Administrator.
Article 12Password manager · Secrets
The password manager makes it possible to store and share secrets within the Customer's organization. The User alone decides which secrets to store and which shares to make.
When client-side encryption or a master password is enabled, CONYVO has no access to the secrets and can neither read nor recover them. Loss of the master password or recovery keys may result in the permanent loss of the secrets.
The User keeps their recovery codes in a safe place and promptly revokes any compromised secret. CONYVO is not responsible for the use, disclosure or loss of secrets attributable to the User or the Customer.
Article 13Third-party applications · Mobile clients · Hyperlinks
The Services may be used through desktop or mobile clients published by third parties (e.g. file synchronization apps, email clients, VPN clients). Their installation and use are governed by their publishers' terms and are the User's responsibility.
The Site may contain links to third-party websites, provided for convenience. CONYVO has no control over these websites and accepts no responsibility for their content, availability or practices.
Links to the Site are permitted provided they do not harm CONYVO's image, create confusion or present the Site in a misleading way. CONYVO may require the removal of any non-compliant link.
Article 14Artificial intelligence features
When the Customer has subscribed to an artificial intelligence module, the User is informed that they are interacting with an AI system. Generated answers may be inaccurate or incomplete and must be checked before any use.
The system only accesses documents authorized by the User's rights. No sensitive action is executed without explicit human approval. The User shall not submit data whose processing is not authorized by the Customer.
Article 15Intellectual property
The Site, its Content, the interfaces, the CONYVO brand, the configurations, developments, scripts, documentation and elements specific to the Solution are protected by intellectual property law and remain the property of CONYVO or its licensors.
Free software integrated into the Services remains subject to its own licenses, available on request or in the interfaces concerned. These Terms of Use do not transfer any rights.
The User has a personal, non-exclusive and non-assignable right to use the Site and the Services, solely for consulting them or for the Customer's business. Any unauthorized reproduction, extraction or use may constitute infringement.
The User and the Customer retain all their rights to User Content. They grant CONYVO only the right to host, back up, technically reproduce and transmit it, to the extent strictly necessary to provide the Services.
Article 16Personal data and cookies
The processing of personal data of Site visitors, prospects and customer contacts, carried out by CONYVO as data controller, is described in the Privacy Policy available on the Site.
Personal data processed in the Solution on behalf of the Customer is processed by CONYVO as processor, on the instructions of the Customer, as controller. The End User exercises their rights with the Customer, with CONYVO's assistance.
For security, evidence and operational purposes, logins and technical operations are logged (IP address, timestamp, Account, action), for a proportionate period defined in the Privacy Policy and the DPA.
The Site uses cookies and trackers (technical, audience measurement, etc.). Those subject to consent are only set after the User has agreed, through a consent management tool (CMP), and can be refused or withdrawn at any time.
Article 17Availability, maintenance and security
CONYVO uses reasonable means to ensure the accessibility and security of the Site and the Services, without guaranteeing the absence of interruptions, errors or vulnerabilities. Service commitments are defined exclusively in the Customer's contract.
CONYVO may carry out planned or corrective maintenance. Planned maintenance is, as far as possible, carried out outside peak usage times and announced through the portal, email or an information banner.
In the event of a security incident, CONYVO may apply precautionary measures (revoking sessions, resetting Credentials, blocking IP addresses, restricting shares or uploads) to protect the systems, Customers and Users.
The User acknowledges that the internet and IT systems involve risks (outages, cyberattacks, latency). They protect their devices (updates, antivirus, disk encryption, locking) and do not store data on unsecured devices.
Article 18Suspension · Closure of access
CONYVO may suspend or close an Account, or access to all or part of the Services, in the event of a breach of the Terms of Use, fraudulent use, a security breach, a request from the Customer, non-payment by the Customer or an order from an authority.
Except in an emergency or where required by law, CONYVO informs the User or the Customer Administrator. Suspension gives the User no right to compensation.
Article 19Liability
CONYVO cannot be held liable for direct or indirect damage resulting from the use of or inability to use the Site, unless mandatory legal provisions provide otherwise. CONYVO's liability to the Customer is governed exclusively by the Terms of Sale.
CONYVO cannot be held liable in particular: (I) for inaccurate published information; (II) for malfunctions attributable to a third party, the Customer or the User; (III) in the event of force majeure; (IV) for use that does not comply with the Terms of Use; (V) for compromise of Credentials attributable to the User.
Where the User acts in a professional capacity, indirect damage (loss of revenue, operating loss, loss of data, loss of opportunity, damage to reputation) is excluded, except in the event of gross negligence or willful misconduct by CONYVO.
The User indemnifies CONYVO against any third-party claim arising from their User Content or from use of the Services contrary to the Terms of Use. No clause excludes a liability that cannot be excluded by law (e.g. personal injury).
Article 20Amendment of the Terms of Use
CONYVO reserves the right to amend the Terms of Use at any time, in particular to take account of legal, technical or functional changes to the Site and the Services.
The applicable version is the one published online on the date of use. In the event of a substantial change, CONYVO informs Users with an Account by email or notification; continued use constitutes acceptance.
Article 21Governing law and jurisdiction
These Terms of Use are governed by French law.
In the event of a dispute, the User is invited to contact CONYVO first in order to seek an amicable solution.
Failing an amicable agreement, and subject to mandatory provisions, the competent courts are those within the jurisdiction of CONYVO's registered office. If the User acts as a consumer, they may bring the matter, at their choice, before the court of their place of residence or of the place where the damage occurred.
Article 22Contact
For any question about these Terms of Use, the User can contact CONYVO:
